Key Responsibilities:        

  • Draft and negotiate contracts and contract amendments, including CDAs, manufacturing agreements, supply agreements, quality agreements and various other agreements
  • Interpret existing contracts and advise on contract interpretation issues

  • Assist in the drafting of term sheets, collaboration, licensing and other agreements to support business development activities

  • Assist with due diligence reviews to support business development activities

  • Assist with ongoing compliance with applicable reporting requirements of the U.S. Securities and Exchange Commission and NASDAQ, including Regulation FD, periodic filings and proxy statements

  • Update and review contracttemplates

  • Assist in the drafting, review and revision of intercompany agreements

  • Assist senior members of the legal department with other legal needs of the company as necessary and contribute to the overall legal function

  • Appropriately triage a heavy workflow, setting appropriate priorities with internal clients and delivering results efficiently

  • Ensure internal clients receive sound, practical and timely legal advice and support

  • Foster strong working relationships with internal clients, while balancing legal risks

Minimum Education & Experience Requirements:

  • JDdegree from an accredited law school with a license to practice law
  • Highly developed written and oral communications skills, with the ability to clearly articulate recommendations and options about complex legal issues
  • A 2nd, 3rd or 4thyearassociate with experience at a large law firm
  • Experience drafting complex agreements, including licensing and collaboration agreements
  • Knowledge of and experience with the federal and state securities laws, corporate securities and stock exchange procedures 
  • Demonstrated ability to recognize and weigh business and legal risks, lead strategically and advance innovative solutions
  • Strong business and legal acumen, with the ability to identify and diagnose legal problems and articulate creative and practical solutions and alternatives
  • Ability to draft concise and effective contractual documents
  • Ability to work independently on complex projects
  • Ability to interface with outside counsel, vendors, collaborators, all internal departments and all levels of management.
